Terms and conditions

These terms govern the contractual relationship between Fidemap (owner identified in the Legal Notice) and the customer who contracts any of the services offered on the platform, including the loyalty program, the POS, the backoffice and other associated tools.

Contracting any service implies the express and unreserved acceptance of these terms. The customer declares to have legal capacity to contract and to act on behalf of the business they represent.

Fidemap provides small and medium-sized businesses with a platform comprising (a) a mobile app for end customers, (b) an administration panel (backoffice), (c) a point of sale (POS) and (d) complementary activation and support services. The specific scope depends on the contracted plan.

To use the services, the customer must create an account providing truthful and up-to-date information. The customer is responsible for the confidentiality of their credentials and for all activity carried out from their account.

The applicable fees are those published on the website at the time of contracting. Unless otherwise stated, prices do not include applicable taxes.

Fees are billed in advance on a monthly or annual basis, as contracted. Non-payment will entitle Fidemap to suspend the service.

The contract has an indefinite term with automatic renewals for periods equal to the one initially contracted, unless either party cancels it.

The customer may cancel their subscription at any time from the backoffice or by requesting it at info@fidemap.com. The cancellation will take effect at the end of the current billing period, with no right to refund of amounts already accrued.

Fidemap undertakes to provide the services with due diligence and to seek maximum availability. However, uninterrupted availability or the absence of errors is not guaranteed, especially during maintenance operations, force majeure or causes beyond Fidemap's control.

The customer agrees to:

• Use the services in accordance with current legislation and these terms.
• Keep their tax and contact data up to date.
• Not use the platform to send unsolicited communications (spam).
• Comply with applicable data protection regulations regarding their own customers.

Except in cases of willful misconduct or gross negligence, Fidemap's total accumulated liability towards the customer arising from or relating to the services shall be limited to the fees actually paid by the customer during the twelve (12) months prior to the event giving rise to liability.

Fidemap shall not be liable for loss of profits, loss of revenue, loss of data or indirect damages.

All rights to the platform (software, trademarks, content and design) belong to Fidemap. Contracting the services grants the customer a non-exclusive, non-transferable license of use, limited to the term of the contract.

To the extent that Fidemap processes personal data on behalf of the customer, both parties will formalize the corresponding data processor agreement in accordance with Article 28 of the GDPR. Details of the processing are available in the Privacy Policy.

Fidemap may modify these terms for reasonable legal, technical or commercial reasons. Modifications will be communicated to the customer with thirty (30) days' notice. If the customer does not agree, they may cancel the contract without penalty.

These terms are governed by Spanish law. For the resolution of any dispute, the parties submit to the Courts and Tribunals of [PENDIENTE-CIUDAD], except where consumer regulations establish a different jurisdiction for consumers and users.
